IMPACT Labs Academy

Effective Date: May 31, 2025

By attending and enrolling in any of the programs, products and services (referred to as “Program”) provided by IMPACT Labs Academy (“Instructor,” “Program Organizer,” “we,” or “us”), you (“Student” and/or “Parent/Guardian”) agree that you have read, understood, and agree to the following Terms and Conditions.

ELIGIBILITY & PARTICIPATION

By enrolling in the Program, you confirm that the student meets the eligibility criteria and, if under 18, has parent or legal guardian consent.

Participation requires reliable internet access and a device capable of accessing meeting tools such as Zoom, Google Meet, tec. and web-based tools (e.g., Google Drive, Figma, Teachable Machine).

PROGRAM FORMAT

Each Program format is as described on the corresponding Program page. Students are expected to attend live sessions, any weekly study prompts and reflection activities, and actively engage with mentors and peers to achieve the learning goals and experience the program outcomes.

Recordings may be made available for the duration of the program to enrolled students but may not be shared, downloaded, or redistributed outside the Program.

SCHEDULE & PROGRAM ADJUSTMENTS

We reserve the right to reschedule live sessions or guest speakers due to unforeseen circumstances. Students will be notified promptly of any changes.

COMMUNICATION

All official communication, including session links, assignments, and announcements, will be sent via email or course platforms (e.g., Google Classroom, Google Chat). It is the responsibility of the student and/or parent to ensure timely access.

MEDIA & TESTIMONIAL CONSENT

With written consent from a parent/guardian and/or the student, we may occasionally feature photos, quotes, or screenshots from class sessions or Demo Day to promote the Program. No student’s full name or likeness will be used without permission.

TUITION, CANCELLATION & REFUND POLICY

For Programs with monthly tuition, the tuition must be paid in full by the 7th of each month during the duration of the Program. You may cancel your subscription at any time. However, to avoid being charged for the upcoming month, please provide at least 7 days’ notice before your next billing date.

For all other programs, the guidelines mentioned during sign-up should be followed.

No refunds will be issued once the program month begins, unless the program is canceled by the Organizer.

INTELLECTUAL PROPERTY

All instructional materials, frameworks, and course content are the property of Dr. Vinithasree Subbhuraam and IMPACT Labs Academy and are for personal, educational use only. Reproduction or distribution without written permission is prohibited.

This program might include materials protected by intellectual property laws, including without limitation written text, logos, photos, videos, music, art, designs and/or graphics. You may view and use materials from this program for personal, educational use and noncommercial purposes only. Any reproduction or unauthorized use of any materials found on this program shall constitute infringement. The original materials that have been provided to you by IMPACT Labs Academy’s programs are for your individual use only.

Students retain ownership of their original work. By enrolling, students and/or guardians grant the Program non-exclusive permission to showcase anonymized or credited student work in future promotional or educational materials unless otherwise requested in writing.

CODE OF CONDUCT

All participants must treat peers and instructors with respect and professionalism. Harassment, bullying, academic dishonesty, or disruptive behavior may result in removal from the Program without refund.

You are strictly forbidden from the following:

• Causing damage to this program

• Using this program for any unlawful, illegal, fraudulent or harmful purpose or activity

• Using this program to copy, store, host, transmit, send, use, publish or distribute any spyware, virus, worm, Trojan horse, keystroke logger or other malicious software

• Using this program to transmit, send or deliver unsolicited communications or for other marketing or advertising purposes

• Systematically or automatically collecting data from this program

• Sharing private and proprietary information from online courses with anyone else including those not enrolled in the Program

IMPACT Labs Academy may, without notice, refuse access to its program, in whole or part, to any person that fails to comply with these Terms.

DISCLAIMERS

This program provides information only, and does not provide any financial, legal, medical or psychological services or advice. None of the content on this program prevents, cures or treats any mental or medical condition. You are responsible for your own financial, legal, physical, mental and emotional well-being, decisions, choices, actions and results. IMPACT Labs Academy disclaims any liability for your reliance on any opinions or advice contained in this program. This program is not intended to be a substitute for professional advice that can be provided by your own accountant, lawyer, financial advisor, or medical professional. You should consult with a professional if you have specific questions about your own unique situation.

While we strive to deliver a safe and enriching experience, we are not liable for technical issues, data loss, or any incidental outcomes related to participation.

This Program is educational in nature and does not confer certification, college credit, or pre-med qualification.

PRIVACY & DATA USE

We collect basic information (e.g., name, email, grade, interests) solely to administer and improve the Program. Personal data will not be sold or shared without consent, except as required by law. Please see the Privacy Policy document.

NO WARRANTY

The information, products and services offered on or through this program are provided “as is” and without warranties of any kind either expressed or implied. To the fullest extent permissible by applicable law, IMPACT Labs Academy disclaims all warranties, expressed or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. IMPACT Labs Academy does not warrant that this program or any of its functions will be uninterrupted or error-free, that defects will be corrected, or that any part of this program, or the servers that make it available, are free of viruses or other harmful components.

IMPACT Labs Academy shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages that result from the use of, or the inability to use this program, including its materials, products or services, or third-party materials, products or services made available through this program.

GENERAL TERMS

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to its conflict of laws. The nearest state and federal court to Austin, Texas shall have exclusive jurisdiction over any case or controversy arising from or relating to this program, including but not limited to the Privacy Policy or these Terms. By using this program you hereby submit to the exclusive jurisdiction and venue of these courts and consent irrevocably to personal jurisdiction in such courts and waive any defense of forum non conveniens.

If any provision of these Terms is held invalid or unenforceable, the remainder of these Terms will remain in full force and the invalid or unenforceable provision will be replaced by a valid or enforceable provision. The prevailing party in any dispute between the parties arising out of or related to these Terms, whether resolved by negotiation, mediation, or litigation, shall be entitled to recover its attorneys’ fees and costs from the other party.

This is the entire agreement of the parties, and reflects a complete understanding of the parties with respect to the subject matter. This agreement supersedes all prior written and oral representations.

IMPACT Labs Academy may change, modify or update these Terms at any time without notice. Any access or use of this program by you after IMPACT Labs Academy posts such changes shall constitute consent of such modifications. IMPACT Labs Academy controls and operates this program from offices in the United States. IMPACT Labs Academy does not represent that materials on this program are appropriate or available for use in other locations. People who choose to access this program from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

AGREEMENT & CONSENT

By completing enrollment, the Student and Parent/Guardian acknowledge and agree to these Terms and Conditions, including:

Participation in the Program
Communication via digital platforms
Responsible use of materials
The showcasing of anonymized work, with opt-out available
